The share capital of company is the sum of the value of each share in a limited liability company. The amount paid for the shares constitutes the share capital deposit. The amount of share capital will depend on the company’s capital requirements. Under its current Articles of Association, the Company’s share capital shall be not less than SEK 88,000,000 and not more than SEK 352,000,000, divided into not fewer than 40,000,000 shares and not more than 160,000,000 shares. The Company has only one class of shares. Each share entitles the holder to one vote. At General Meetings of shareholders each qualified voter is entitled to vote for the full number of shares that such shareholder holds, or represents, in the Company, without limitation of voting powers. Section 2(8) of the paid-up capital companies act 2013 defines that Authorised capital or nominal capital means such maximum amount of share capital of the company that is authorised by the (MOA) memorandum of association of a company. However, the authorized capital of a company is mentioned in or nominal capital can be altered with certain procedures which are governed by Section 61-64 of the Companies Act read along with Section 13 and 14 of the act which governs the alterations to the Chartered Documents that are (MOA) Memorandum Of Association and (AOA) Articles Of Association of the company.Procedure For Changing Authorized Share Capital
